1. Acceptance of Terms

By accessing our website or engaging StreamSmart's services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.

2. Services Provided

StreamSmart provides IT consulting services including, but not limited to, cloud solutions, cybersecurity consulting, network infrastructure design, IT strategy planning, data analytics consulting, and systems integration. Specific deliverables, timelines, and costs are defined in individual service agreements or statements of work (SOW) agreed upon by both parties.

3. Client Responsibilities

Clients engaging StreamSmart agree to:

• Provide accurate, complete, and up-to-date information required for service delivery
• Grant reasonable access to systems, networks, and personnel as necessary
• Review and approve deliverables within agreed timelines
• Maintain appropriate backups of all data prior to any system changes
• Notify StreamSmart promptly of any changes that may affect the project scope

4. Fees and Payment

Fees for services are outlined in the individual service agreement or proposal provided to the client. Unless otherwise stated:

• Invoices are payable within 14 days of issuance
• Late payments may be subject to a late fee of 1.5% per month on outstanding balances
• Retainer fees are non-refundable once work has commenced
• StreamSmart reserves the right to suspend services for accounts with overdue balances

All prices are quoted in US Dollars (USD) unless otherwise specified.

5. Intellectual Property

Upon full payment of all applicable fees, StreamSmart grants the client ownership of custom deliverables developed specifically for that engagement. StreamSmart retains ownership of all pre-existing tools, frameworks, templates, methodologies, and proprietary systems used in the delivery of services.

Neither party may use the other's trademarks, logos, or branding without prior written consent.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the service agreement. Confidential information does not include information that:

• Was already in the public domain at the time of disclosure
• Becomes publicly available through no breach by the receiving party
• Is independently developed without reference to the confidential information
• Is required to be disclosed by law or court order

7. Limitation of Liability

StreamSmart's liability to any client for any cause whatsoever shall be limited to the total fees paid by the client for the specific service engagement giving rise to the claim. In no event shall StreamSmart be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

StreamSmart does not warrant that services will be uninterrupted, error-free, or free from security vulnerabilities.

8. Indemnification

The client agrees to indemnify, defend, and hold harmless StreamSmart and its consultants from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: the client's misuse of our services; the client's violation of applicable laws; or any third-party claims related to the client's business operations.

9. Termination

Either party may terminate a service engagement by providing 14 days written notice. StreamSmart may terminate immediately in cases of non-payment, breach of these Terms, or conduct that creates legal or reputational risk. Upon termination, the client shall pay for all work completed up to the termination date. StreamSmart will return all client-provided data and materials upon request within 30 days of termination.

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached within 30 days, disputes shall be subject to binding arbitration under applicable rules. These Terms are governed by applicable law, and any formal proceedings shall take place in the applicable jurisdiction.

11. Amendments

StreamSmart reserves the right to update these Terms and Conditions at any time. Continued use of our services following any such changes constitutes your acceptance of the updated Terms. We will endeavor to notify clients of significant changes via email or prominent notice on our website.

12. Entire Agreement

These Terms and Conditions, together with any signed service agreement or SOW, constitute the entire agreement between StreamSmart and the client with respect to the subject matter herein and supersede all prior discussions, representations, or agreements.
